Iluminar Energy LLC → JP Energy Resources (Ampra Energy): Chiron served as sole financial advisor and investment banker on the expedited sale of a retail electric provider facing distress from Winter Storm Uri debts. The entire process—from engagement to signing and closing—was completed in less than three weeks. Chiron contacted hundreds of potential buyers and created an auction dynamic that resulted in a final bid three times larger than initial indications. The sale was completed outside of bankruptcy, providing additional proceeds for creditors.
SMG Industries Acquisition of 5J Transportation Group: Chiron secured 100% financing for Houston-based SMG Industries' acquisition of 5J Transportation Group, an oilfield services heavy haul and logistics company. The deal closed in February 2020 amid volatile oil markets and industry distress. Chiron contacted more than 400 potential lenders and investors, structuring the transaction without any equity contribution from SMG's legacy business. This transaction won Energy Deal of the Year under $1 billion from The M&A Advisor.
OFS International Restructuring: Chiron provided comprehensive financial advisory and investment banking services for OFS International, an oilfield services company with $170 million in revenue that faced collapse from energy price downturn and loss of licensed threading IP. When Chiron was engaged in July 2020, the company had $95 million in liabilities and negative EBITDA. Chiron negotiated multiple forbearance agreements, reduced costs by $210,000 per month, returned the company to positive EBITDA by Q4 2020, arranged DIP financing within 21 days when an out-of-court restructuring was thwarted, and successfully executed exit financing from multiple sources. The company emerged from Chapter 11 in January 2022 with a Plan Effective Date. This deal also won Energy Deal of the Year.
Initiative Foods Recapitalization: Chiron served as financial advisor and exclusive investment banker to Initiative Foods, the largest U.S. producer of private-label baby food. The company faced significant distress from Covid-19 lockdown impacts, inflationary cost pressures, default with its senior-secured lender, and past-due payables. Chiron successfully negotiated a nine-month forbearance, reduced lease payments, marketed the opportunity to 400+ capital providers, and placed a multi-tranche debt and equity facility that exited the incumbent lender at a ~66.4% discount while providing $6.9 million in liquidity ($3.1 million in working capital and $3.8 million for growth Capex).
SLH Tuscaloosa Hotel Development: Chiron Financial represented the borrower in securing a $2.75 million land loan for the development of a 120-room Southern Living-branded hotel in Tuscaloosa, Alabama. The 38.7-acre site along the Black Warrior River includes plans for 32 cottages, a restaurant, rooftop lounge, and wellness center.
