Advisory Approach and Positioning
Brockett Tamny & Co. is a Los Angeles-based boutique M&A advisory firm founded in 1990 by Peter D. Tamny (formerly of Lehman Brothers) and Peter C. Brockett (formerly of Bankers Trust Company). The firm is built on a distinctive thesis: to provide large-firm investment banking expertise specifically tailored to the middle market. The founders recognized an underserved segment of companies—those too large to be ignored but too small to attract meaningful attention from major Wall Street banks—and designed Brockett Tamny to fill that gap with senior-level expertise, institutional process, and objectivity.
The firm's value proposition rests on three core pillars: Focus, Objectivity & Independence, and Experience. Their focus is laser-sharp on middle market transactions in the $5 million to $500 million enterprise value range. Unlike generalist advisors who juggle disparate verticals, Brockett Tamny dedicates deep sector expertise to each engagement. Their commitment to objectivity is equally pronounced—as a fee-only advisory firm with no sales, trading, research, or credit conflicts, they advise with clarity uncompromised by internal incentives. And their experience is substantial: the combined banking careers of the founding partners span over 80 years of Wall Street-level expertise, deployed to the benefit of founder-owned and emerging companies.
The firm's thesis on what makes for successful M&A outcomes is pragmatic and relationship-focused. Brockett Tamny believes that the best outcomes for sellers come from exhaustive buyer outreach combined with institutional-quality process management. They emphasize their relationship with the client, not the transaction—a principle that informs their approach to every engagement. This philosophy attracts founder-owned businesses where operational complexity and valuation opacity create a compelling need for expert guidance.
Deal Track Record and Transaction History
Brockett Tamny has compiled an impressive track record across multiple verticals, with notable transactions spanning aerospace, energy, technology, materials handling, real estate, and specialty services. Their transaction history demonstrates both breadth of industry expertise and depth in specific sectors:
Aerospace & Defense: The firm advised SFE Technologies on a comprehensive restructuring following a Department of Defense-induced financial crisis. BT organized and successfully marketed the sale of SFE's Arizona Division to Vishay Technologies, a leading global electronics manufacturer. This transaction showcased the firm's ability to navigate complex regulatory environments and maintain relationships with strategic acquirers in the aerospace and defense ecosystem.
Materials Handling & Industrial Equipment: MHE Company, Inc., a materials handling equipment manufacturer, engaged BT to manage a comprehensive buyer search. The firm developed a management succession plan, structured interim financing, and successfully negotiated the company's sale to Douglas and Lomason, Inc. This engagement exemplified BT's full-service M&A capability, from strategy through close.
Energy & Oil & Gas: In one of the firm's largest transactions, Brockett Tamny was instrumental in the formation and capitalization of Intrepid Energy & Co. in 1996. BT raised approximately $250 million from U.S. institutional investors for this London-based oil and gas investment firm focused on North Sea opportunities. The Fund subsequently made one of the largest oil discoveries in 20 years (the Buzzard Field) and has generated exceptional returns exceeding 50% per annum. University endowments including Stanford, Yale, Dartmouth, Notre Dame, and the University of Michigan were investors in the Fund. This transaction exemplifies the firm's ability to syndicate capital and execute billion-dollar transactions at scale.
Pest Control Services (Specialty Services): The firm represented the shareholders of Western Exterminator Company as exclusive financial advisors in the sale to Rentokil Initial for $100 million. This was one of the largest pest control service transactions in that era, demonstrating BT's capability to manage large, complex transactions in the specialty services space and deliver exceptional outcomes for sellers.
Real Estate & Financial Services: Kennedy-Wilson, Inc. engaged BT to represent the company in the sale of its investment in Realty Holdings of America. The firm analyzed complex partnership agreements, valued K-W's share, negotiated with the buyer, and structured and closed a sophisticated real estate investment transaction.
Technology & Semiconductors: Pico Products, Inc., a manufacturer and distributor of Cable TV equipment, engaged BT to assist in the sale of its trap and filter manufacturing division to Thomas & Betts. Polar Vision Inc., a manufacturer of polarizing films and custom laminated optical filters, engaged BT to assist its management team in exercising a leveraged buyout investor exit option. BT located prospective new investor/partners and negotiated a joint venture between Management and E.I. DuPont (Displays Division).
Large Construction & Industrial: Kasler Corporation engaged BT to advise the family stockholders in their negotiations with the Dennis Washington-led buyout of the company. Beyond financial advice, BT represented the Family's interests on the Kasler Corporation Board of Directors and successfully negotiated substantial improvements in the offer made to dissenting shareholders.
The firm has also provided equity financing advisory across multiple verticals, including AutoEXPO, Inc. (raising over $25 million in equity financing), The Walking Company ($3 million equity raise), and WorldNetDaily.com (venture financing assistance). Additionally, BT served as board member, interim CFO, and strategic advisor to Excellence in Medicine LLC, a physician service network that successfully raised $1.55 million in capital commitments.
Sector Expertise and Industry Focus
Brockett Tamny's industry expertise is truly diversified, spanning aerospace, automotive, beverages, biotechnology, chemicals, financial services, construction, consumer products, distribution, energy, materials handling, pharmaceuticals, semiconductors, software, technology services, transportation, and specialized services. However, their demonstrated M&A experience reveals particular depth in aerospace and defense, advanced materials and semiconductors, energy and oil & gas, specialty retail and e-commerce, technology and software, professional and business services, and real estate.
Within these verticals, the firm has developed specific expertise in company categories that command premium valuations and attract sophisticated buyers. Their aerospace and defense work covers complex manufacturing with certification requirements. Their technology work spans software-as-a-service, internet services, and specialized IT. Their energy practice has proven ability to syndicate capital and execute large-scale energy investments. And their specialty services expertise—demonstrated by the Western Exterminator transaction—shows they understand service-business economics and can facilitate strategic acquisitions across the professional services landscape.
Senior Banker Engagement and Team
A hallmark of Brockett Tamny's approach is their commitment to senior-level attention. Unlike larger banks where deals are handed off to junior analysts, every BT engagement is stewarded by senior managing directors who have personally closed dozens (or in the case of the founders, over 50+) transactions. This principle has remained constant since the firm's inception in 1990.
Peter D. Tamny is Managing Director and Chief Compliance Officer. A 1973 graduate of the U.S. Naval Academy with an MBA from Harvard University's Graduate School of Business Administration, Tamny spent his entire career in investment banking in Los Angeles. He began his career at Dean Witter Reynolds Inc. in 1973, went on to manage the Los Angeles investment banking offices of Blyth Eastman-Paine Webber (1981-1986) and Lehman Brothers (1986-1990) before founding Brockett Tamny & Co. in 1990. Tamny is a former naval submariner with 22 years of military service (retired as Commander) and has served on the boards of Cherokee Group, SNAP Communications, Phillips Plywood, and the USS Pasadena Foundation. He is a Harvard Business School Trustee and member of the HBS Association of Southern California's Scholarship Committee.
Peter C. Brockett is Managing Director. Brockett holds a Bachelor of Science in Electrical Engineering from Duke University and an MBA from Wharton. His career began at Dean Witter Reynolds Inc., progressed through Security Pacific Bank where he managed West Coast merger and acquisition activity, continued as Vice President and Treasurer of Pacific Enterprises (a $7 billion diversified holding company), and culminated in his role managing the West Coast Corporate Group and West Coast Energy Merchant Bank for Bankers Trust Company before co-founding Brockett Tamny & Co. in 1990. Brockett currently serves on the Board of Foundation Energy Company, a Dallas-based institutional money management firm.
The firm's team has expanded over the decades to include directors and senior advisors with backgrounds spanning major investment banks and specialized M&A practices. The combined experience of the firm's principals exceeds 80 years in investment and merchant banking.
Process, Fees, and Engagement Philosophy
Brockett Tamny's engagement approach emphasizes a client-centric, relationship-driven process. The firm dedicates senior bankers to every assignment with no hand-offs to junior staff. Typical engagements involve comprehensive business planning, detailed financial analysis, structured buyer identification and outreach, management presentation coaching, and data room preparation. The firm's process is institutional in quality but tailored to the specific dynamics of each engagement.
While specific fee structures vary by engagement, Brockett Tamny operates on a fee-only basis aligned with client success. The firm does not engage in conflicted business activities (sales, trading, research, credit) that would compromise advisory objectivity.
Buyer Network and Competitive Advantage
Brockett Tamny's competitive advantage rests on a combination of factors: Wall Street expertise deployed to the middle market, institutional-quality process at a more accessible scale, deep sector expertise, active relationships with financial and strategic buyers, and the personal engagement of senior professionals. The firm has developed relationships with private equity firms, strategic acquirers, and financial buyers across multiple verticals, evidenced by successful transaction placements in aerospace, energy, materials handling, technology, real estate, and specialty services.
Positioning in the Market
Brockett Tamny occupies a unique position in the M&A advisory landscape. They are too specialized and relationship-focused to compete with mega-banks on large transactions, but they provide levels of expertise and institutional process that generalist boutiques cannot match. Their sweet spot is founder-owned and emerging companies in the $5-$500 million range where complexity justifies professional advisory support, but size precludes meaningful Wall Street attention. For business owners facing an M&A transaction, acquisition planning, leveraged recapitalization, or corporate reorganization, Brockett Tamny & Co. offers access to top-tier banking expertise with focused attention and alignment of interests through fee-only advisory.
